FINRA Broker Dealer Services

Ceiba will register individual bankers in order to comply with FINRA, SEC and state regulations.  Our platform is ideal for boutique M&A firms and placement agents who do not want the expense of running their own BD.  

COMPLIANCE

Ceiba will provide ongoing compliance with respect to your securities related activities. Our compliance personnel will maintain contact with registered representatives through email and phone in addition to occasional on-site visits. An email review and archiving system will be put in place.  Copies of relevant deal documents will be maintained at Ceiba headquarters and AML policies will be implemented.  Our job will be to implement our Written Supervisory Procedures (WSP).

 

Throughout this process, you will have a partner who understands broker dealer compliance but more importantly understands the nuances of your business.

LICENSING

If you already have the appropriate licenses then onboarding is very easy.  However, if you need to take licensing exams then we can arrange for you to take any relevant licensing exams including Securities Industry Essentials (SIE), Series 24, 63, 79, and 82. 

LICENSING EXAMS

SIE [Securities Industry Essentials]

The Securities Industry Essentials (SIE or Essentials) Exam is a new FINRA exam for prospective securities industry professionals. This introductory-level exam assesses a candidate’s knowledge of basic securities industry information including concepts fundamental to working in the industry, such as types of products and their risks; the structure of the securities industry markets, regulatory agencies and their functions; and prohibited practices.

Passing the Essentials exam alone does not qualify an individual for registration with a FINRA member firm or to engage in securities business. In order to become registered to engage in securities business, an individual must pass the Essentials exam and a qualification exam appropriate for the type of business the individual will engage in. The individual must be associated with a member firm to take a qualification exam.

SERIES 79

The Series 79 exam — the Investment Banking Representative Exam — assesses the competency of an entry-level registered representative to perform their job as an investment banking representative.

The Series 79 exam measures the degree to which each candidate possesses the knowledge needed to perform the critical functions of an investment banking representative, including advising on or facilitating debt or equity securities offerings through a private placement or a public offering and mergers and acquisitions.

SERIES 63

The Series 63 - Uniform Securities Agent State Law Examination, is the state law test for broker-dealer representatives.  The Uniform Securities State Law Examination — is a North American Securities Administrators Association (NASAA) exam administered by FINRA.

The Series 82 exam - the Private Securities Offerings Representative Exam measures the degree to which each candidate possesses the knowledge needed to perform the critical functions of a private securities offerings representative, including solicitation and sale of private placement securities products as part of a primary offering.

The Series 24 - The General Securities Principal Qualification Examination (GP) measures the degree to which each candidate possesses the knowledge needed to perform the critical functions of a general securities principal, including the rules and statutory provisions applicable to the supervisory management of a general securities broker-dealer.
